Welcome to Rooted n Gratitude, LLC (“Company,” “we,” “us,” “our”). These Terms & Conditions (“Terms”) govern your use of www.rootedngratitude.com (the “Site”) and your purchase or use of our programs, products, and services (collectively, the “Services”), including coaching delivered online or in person.

By accessing the Site or purchasing/using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site or Services.

1) Who We Are & Eligibility

• We provide faith-based wellness and coaching for adult women in midlife.

• You must be 18 years or older to use the Site or purchase Services.

• We may update these Terms at any time; changes are effective upon posting to this page.

2) Coaching Only—Not Medical Care or Therapy

• We are not a medical practice, clinic, or licensed mental health provider, and we are not a HIPAA-covered entity.

• Content and coaching are for educational and lifestyle support only and are not medical, mental health, or legal advice.

• Always consult your physician or qualified health provider for medical concerns, diagnosis, or treatment. Call 911 (or your local emergency number) in an emergency.

• You are responsible for your choices, actions, and results.

3) Accounts, Scheduling & Platforms

• We may provide scheduling, forms, messaging, and client portal access via GetHealthie. You are responsible for keeping login credentials confidential and for all activity under your account.

• We may deliver video sessions through common platforms (e.g., Zoom) and send follow-up notes/resources by email.

• We may record group sessions for clients in the same cohort; recordings are confidential and for enrolled clients only. You may opt out of being on video by keeping your camera off and/or using the chat.

4) Programs & Packages

Examples include (subject to updates):

• Individual 1:1 Session (60 minutes)

• Rooted in Grace: 8-Week Program (combination of private + group coaching, journal/resources, and a customized plan)

• Six 1:1 Sessions Pack (use within the stated timeframe)

Program outlines describe typical inclusions; actual content and schedule may vary to improve quality or accommodate availability. We may modify cohorts, dates, or formats with reasonable notice.

5) Pricing, Payments & Billing

• Prices are listed on the Site and may change at any time prior to purchase.

• Payments are processed by third-party processors (e.g., Stripe) and are subject to their terms. We do not store full card numbers.

• Payment plans: If you select a plan, you authorize recurring charges to the payment method on file until the balance is paid. A modest admin fee may apply to plans; missed or declined payments may incur retries or suspension of access.

• Taxes: You are responsible for any applicable taxes.

6) Cancellations, Rescheduling & No-Shows

• 1:1 sessions: Please reschedule or cancel at least 24 hours before your appointment. Late cancellations or no-shows may be forfeited or charged at the full rate.

• Group sessions: Because they run on a fixed schedule, missed sessions are not refundable; when available, you may receive a replay or summary.

• Packages: Unless otherwise stated, session packs expire on the stated timetable (e.g., six-session pack within 4 months). Unused sessions after the expiration date are forfeited.

7) Refunds & Transfers

• Due to the nature of coaching and digital resources, all sales are final once a program or package begins, and digital products are non-refundable upon access/download.

• If you have a verifiable hardship, please email Kimberly@RootedNGrattiude.com; at our sole discretion, we may offer a reschedule, credit, or partial accommodation consistent with these Terms.

• Chargebacks without first contacting us may be considered breach of these Terms; unpaid balances may be referred for collection.

8) Community Guidelines (Groups, Forums, Messaging)

To keep our spaces safe and faith-forward:

• Be kind, respectful, and on topic. No harassment, spam, or solicitation.

• Protect confidentiality—do not share others’ stories or materials outside the group.

• Do not offer medical or legal advice to other participants.

• We may remove participants who violate guidelines without refund.

9) Intellectual Property & Limited License

• The Site and Services—including text, images, branding, PDFs, videos, audio, and other materials—are owned by Rooted n Gratitude, LLC or our licensors and are protected by copyright and other laws.

• We grant you a personal, non-transferable, revocable license to access and use materials for your own non-commercial use.

• You may not copy, share, post, sell, distribute, adapt, or create derivative works from our materials without prior written permission.

• No recording of sessions (group or private) by clients without our written consent.

10) User Content & Testimonials

• If you submit questions, comments, or testimonials, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content in connection with our Services and marketing (we may use first name/initials only unless you authorize otherwise).

• Do not post content you do not own or that infringes the rights of others.

11) Results & Earnings Disclaimer

• Coaching is collaborative; results vary by individual participation, health status, and consistency. We do not guarantee specific outcomes (e.g., weight loss, symptom elimination, income).

• Testimonials reflect individual experiences and are not promises of results.

12) Acceptable Use

You agree not to:

• Use the Site/Services for unlawful purposes or to transmit harmful code.

• Attempt to gain unauthorized access to accounts, data, or systems.

• Interfere with or disrupt the Site/Services or networks connected to them.

We may suspend or terminate access for violations.

13) Third-Party Links & Integrations

The Site may link to third-party websites or use third-party tools (e.g., GetHealthie, Stripe). We are not responsible for third-party content or practices. Review their terms and policies before use.

14) Privacy

Your use of the Site/Services is also governed by our Privacy Policy, which explains how we collect, use, and share information and your privacy rights. See: www.rootedngratitude.com (Privacy Policy link in footer).

15) Electronic Communications & SMS

By creating an account, booking, downloading resources, or contacting us, you consent to receive electronic communications (emails, portal messages) related to your account and Services. If we offer SMS, you can opt out at any time by replying STOP.

16) Accessibility

17) Disclaimers; Limitation of Liability

• The Site/Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

• To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or business interruption.

• Our total liability for any claim relating to the Site/Services shall not exceed the amount paid by you for the applicable Service in the three (3) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain disclaimers or limits; in such cases, our liability is limited to the maximum extent permitted by law.

18) Indemnification

You agree to indemnify, defend, and hold harmless Rooted n Gratitude, LLC and our officers, employees, and contractors from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of your: (a) use of the Site/Services, (b) violation of these Terms, or (c) violation of any rights of a third party or applicable law.

19) Force Majeure

We are not responsible for delays or failures caused by events beyond our reasonable control (e.g., illness, tech outages, natural disasters, strikes, or governmental actions).

20) Governing Law; Dispute Resolution

• These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

• Good-faith resolution: Before filing a claim, you agree to email us at Kimberly@RootedNGrattiude.com to attempt resolution in good faith within 30 days.

• Venue: If informal resolution fails, disputes shall be brought in state or federal courts located in Texas (you consent to such jurisdiction and venue).

• You and we waive jury trial to the extent permitted by law. If you prefer binding arbitration, contact us to agree on an arbitration process; otherwise, this clause defaults to court venue as stated.

21) Severability; No Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of our right to do so later.

22) Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights/obligations in connection with a merger, acquisition, or sale of assets.

23) Entire Agreement

These Terms, together with our Privacy Policy and any program-specific terms presented at checkout, constitute the entire agreement between you and us regarding the Site/Services and supersede all prior or contemporaneous communications.
